1. Introduction and Acceptance

By engaging our services, submitting an inquiry, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or website.
These Terms supplement and do not replace any written engagement letter or service agreement executed between you and Verdantis for specific legal services.
2. Definitions
For purposes of these Terms:
- "Services" refers to corporate formation, business license amendment, compliance review, and related legal advisory services provided by Verdantis.
- "Website" means the Verdantis website located at verdantiismy.live and all associated pages.
- "Client" means any individual or entity engaging our Services.
- "Engagement" means the period during which we provide Services to you under a specific service agreement.
3. Scope of Services
3.1 Service Description
Verdantis provides legal services related to corporate formation and business registration in Vietnam, including company incorporation, business license amendments, compliance reviews, and related advisory services. The specific scope of each engagement will be detailed in a separate service agreement or engagement letter.
3.2 Service Limitations
Our Services are limited to the matters explicitly agreed upon in each engagement. We do not provide tax advice, financial planning, immigration services, or legal services outside our stated areas of practice unless specifically agreed in writing.
3.3 Professional Standards
All Services are performed in accordance with Vietnamese law and the professional standards established by the Vietnam Bar Federation. We maintain professional liability insurance as required by applicable regulations.
4. Client Responsibilities
When engaging our Services, you agree to:
- Provide accurate, complete, and timely information necessary for service delivery
- Respond promptly to requests for documentation, clarification, or decision-making
- Maintain confidentiality of any sensitive information we share during the engagement
- Comply with Vietnamese law and regulatory requirements applicable to your business
- Notify us immediately of any material changes to information previously provided
- Pay fees and expenses in accordance with the agreed payment terms
5. Fees and Payment
5.1 Fee Structure
Our Services are provided on a fixed-fee basis as quoted for each specific engagement. Fee amounts are stated in Vietnamese Dong (VND) and are confirmed in writing before service commencement. Government filing fees and other third-party costs are additional and will be itemized separately.
5.2 Payment Terms
Unless otherwise agreed, payment is due within 15 days of invoice date. We accept bank transfer payments to our designated business account. Late payments may incur interest charges at the rate permitted under Vietnamese law.
5.3 Scope Changes
If the scope of Services expands beyond the original agreement due to unforeseen complexities or Client requests, we will provide advance notice and a revised fee quotation. Additional work will not proceed without Client approval.
5.4 Refund Policy
Fees are non-refundable once work has commenced. If you terminate an engagement before completion, you remain responsible for payment of work performed up to the termination date plus any non-refundable expenses incurred on your behalf.
6. Intellectual Property
6.1 Our Intellectual Property
All content on our Website, including text, graphics, logos, and software, is owned by or licensed to Verdantis and protected by Vietnamese and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
6.2 Work Product
Documents prepared specifically for your engagement (such as charter documents and compliance reports) become your property upon full payment. However, we retain the right to keep copies for our records and to use general methodologies and knowledge gained for other clients.
6.3 Limited License
We grant you a limited, non-exclusive license to use our Website for the purpose of learning about and engaging our Services. This license does not permit commercial use or systematic downloading of content.
7. Confidentiality
We maintain strict confidentiality of all Client information in accordance with Vietnamese attorney-client privilege and professional conduct rules. We will not disclose your confidential information except as required by law, with your consent, or as necessary to provide the Services (such as filing documents with government authorities).
Confidentiality obligations survive termination of the engagement and continue indefinitely unless the information becomes publicly available through no fault of ours.
8. Limitation of Liability
8.1 Professional Services
Our Services are performed with reasonable professional skill and care. However, we cannot control government processing times, regulatory decisions, or other factors outside our reasonable control. We are not liable for delays or unfavorable outcomes resulting from such external factors.
8.2 Limitation of Damages
To the maximum extent permitted by Vietnamese law, our total liability for any claim arising from an engagement shall not exceed the fees paid by you for that specific engagement. We are not liable for indirect, consequential, or punitive damages.
8.3 Website Use
Our Website and its content are provided on an "as is" basis. We make no representations about the accuracy, completeness, or suitability of Website content for any particular purpose. Website information does not constitute legal advice for your specific situation.
9. Indemnification
You agree to indemnify and hold harmless Verdantis, its attorneys, and employees from claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, provision of false or misleading information, or violation of applicable laws.
10. Termination
10.1 Termination by Client
You may terminate an engagement at any time by providing written notice. You remain responsible for payment of work performed and expenses incurred up to the termination date.
10.2 Termination by Verdantis
We may terminate an engagement if you fail to pay fees when due, provide materially false information, engage in conduct that violates our professional obligations, or for any reason permitted under the Vietnam Bar Federation Code of Conduct. We will provide reasonable notice where circumstances permit.
10.3 Effect of Termination
Upon termination, we will provide you with copies of documents in our possession related to your engagement, subject to payment of outstanding fees. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.
11. Disclaimers
While we provide professional legal services with due care:
- We cannot provide specific outcome results or timeframes for government processing
- We are not responsible for future changes in Vietnamese law or regulations

12. Dispute Resolution
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
12.2 Jurisdiction
Any disputes arising from these Terms or our Services shall be subject to the exclusive jurisdiction of the courts of Ho Chi Minh City, Vietnam.

13. General Provisions
13.1 Entire Agreement
These Terms, together with any written engagement letter or service agreement, constitute the entire agreement between you and Verdantis regarding the matters addressed herein.
13.2 Severability
If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, or if that is not possible, severed from these Terms. The remaining provisions shall remain in full effect.
13.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
13.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations with reasonable notice to you.
13.5 Notice
All notices under these Terms must be in writing and delivered to the addresses specified in the engagement letter or to [email protected] for electronic delivery.
14. Changes to Terms
We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date and post the revised Terms on our Website. Changes become effective upon posting.
Your continued use of our Website or Services after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the changes, you should discontinue use of our Website and notify us if you wish to terminate an ongoing engagement.
